Tongcheng Buys Control of Dida Chuxing to Close the Last-Mile Gap

Tongcheng Travel completed a tender offer for nearly 89 percent of Dida Chuxing, paying about HK$1.42 billion. The deal keeps Dida as an independent brand while giving the OTA access to a national carpooling network, reflecting a broader industry push to turn ticket bookings into full-journey services.

NextFin News — Tongcheng Travel has taken majority control of Dida Chuxing. The company announced on August 21, 2026, that it had received valid acceptances for approximately 911 million shares, representing 88.74 percent of Dida, at a total consideration of roughly HK$1.424 billion. Dida will continue operating under its own brand with its existing management team intact, and its listing status remains unchanged.

The transaction addresses a structural weakness shared by most online travel agencies. Ticket and hotel bookings form the revenue core, yet growth in those categories has slowed to single digits. Once a traveler reserves a flight or train, the journey itself begins—and the final kilometers from station or airport to hotel, or between attractions, fall outside the OTA’s traditional reach. Each completed booking that ends with the user leaving the platform represents a lost contact point and a missed chance for additional services.

Dida’s carpooling network fills precisely that gap. The platform covers 366 cities, claims more than 415 million registered users and 21 million verified private-car drivers. Integrating that capacity into Tongcheng’s booking flow would allow the company to move from selling tickets toward arranging door-to-door itineraries.

Industry forecasts cited in the market place the relevant segment on a path toward more than RMB 100 billion by 2028, with compound annual growth near 30 percent. High-frequency local mobility can, in theory, reactivate lower-frequency travel bookings.

Other platforms have pursued similar logic through different routes. Ctrip has long operated a dedicated car-rental business and obtained nationwide ride-hailing service capability years earlier. Meituan embedded ride-hailing as an aggregated module inside its super-app, leveraging existing local-life traffic rather than owning vehicles. Amap ties navigation, ride-hailing and carpooling into a single map-centric entry point without owning fleets.

Fliggy, after deeper integration into Alibaba’s China e-commerce group, has emphasized AI agents that handle the full travel workflow from planning to modifications. Airbnb has expanded into experiences, transfers and related services without large acquisitions of mobility assets.

Dida itself arrived at the deal from a position of pressure. Although it has remained profitable for multiple consecutive years and leads China’s dedicated carpooling category, its post-listing valuation had fallen sharply and 2025 revenue declined. As a standalone vertical platform it faced high customer-acquisition costs and limited ability to match the subsidy firepower or traffic of larger ecosystems. Its asset-light matching model delivers high gross margins; low-cost traffic from Tongcheng’s paid-user base and WeChat entry points could, in principle, expand volume without a proportional rise in incentives.

The dual-platform structure chosen by Tongcheng reduces immediate integration friction but also limits how deeply the two operations can share data, standards and dispatch systems. Flow of traffic alone does not guarantee conversion if pricing, reliability or driver density fall short of competing options. Tongcheng also operates under heightened regulatory scrutiny following multi-agency talks in mid-2026 that addressed promotional practices and data handling in ticket sales. Mobility services carry their own dense local regulatory requirements around vehicle qualifications, driver checks and operational data reporting. Keeping Dida separate provides a buffer; it also leaves open the question of how closely the parent will intervene if growth lags.

The larger industry pattern is clearer than any single deal. Boundaries between pure travel booking, local mobility and everyday lifestyle services continue to blur. When an artificial-intelligence agent can plan an itinerary, the decisive advantage shifts to the platform that can actually execute every leg—airport transfer, hotel arrival, inter-city carpooling, return trip—without forcing the user to switch apps.

Competition is moving from who sells the cheapest ticket toward who occupies more nodes along the entire journey and who can keep the traveler inside one service relationship for longer.

Tongcheng’s purchase of control at Dida marks one concrete step in that direction. Whether the combination produces durable last-mile coverage, higher customer lifetime value and sustainable margins will determine if the model becomes a template or another experimental cross-border acquisition.

For now the industry has a live case study of an OTA attempting to turn the moment after the ticket is booked into the start, rather than the end, of its service.
